Terms of Service

Acceptance of Terms

By accessing or using Handshakr, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have the authority to bind it.

Handshakr is operated by Cardiff Giant Ventures Limited, a company registered in England and Wales with company number 12322092, whose registered office is Unit 12 Green Park, Coed Cae Lane Industrial Estate, Pontyclun, CF72 9GP. Handshakr is a brand of that company, and references to "we" and "us" mean Cardiff Giant Ventures Limited.

What Handshakr is

Handshakr is a directory and an identity layer. It holds structured records of what companies sell, the claims they make, and the evidence behind those claims, in a form both people and software can read.

We are not a party to any transaction between a buyer and a supplier. We do not sell the products or services described on the platform, we do not act as anyone's agent, and we do not handle payment between buyer and supplier. Any contract you enter into as a result of using Handshakr is between you and the other company.

The current state of the platform

Parts of Handshakr are incomplete, and we publish which parts. The build state of each layer, and the production figures behind it, are set out at handshakr.com/platform and are updated when they change.

You should not rely on a capability that page describes as not built. We make no commitment that any layer described as planned will be delivered, or delivered in the form described.

Your account

You are responsible for the security of your account credentials and for activity that takes place under your account. Tell us promptly if you believe an account has been compromised.

You must give accurate registration information and keep it current.

Company listings

Listings created from public sources

Most company records on Handshakr were not created by the company they describe. They are built from public sources, including Companies House, public code and package registries, and public company directories.

An unclaimed listing is labelled as an unclaimed listing. It says that the record was discovered from public sources and has not been confirmed by the company. It is readable by buying agents in the same form it is published here; the format differs, the information does not. From the moment a company claims its listing, that company decides whether it is readable by agents at all, and the answer is no until they say otherwise.

If you are the company described by an unclaimed listing, you may:

• Claim it, free, and correct it

• Ask us to correct a specific field

• Ask us to remove it, by emailing hello@handshakr.com

We will act on a removal request from a company about its own listing. We do not require you to hold an account to make that request.

Claiming a listing

Claiming transfers control of a listing to you. We verify your association with the company first, usually by confirming a work email address on the company's domain. Claiming a listing you have no authority over is a breach of these Terms.

What you publish

You keep ownership of the content you publish. You grant us a licence to store it, display it on the platform, and serve it in machine-readable form to the extent you have switched that on.

You are responsible for the accuracy of what you publish, including every claim you make. We do not independently establish that a claim is true except where we say we have, and where we do, we say what was checked.

Claims, evidence and verification

A claim is a single statement of fact about your company or your products. Each claim carries its own verification state, and those states mean different things:

• Seller-stated means you said it and nothing has been checked

• Evidence-backed means you attached supporting evidence

• Handshakr-verified means a reviewer examined that evidence

• Third-party-verified means an external authority attested it

Handshakr-verified applies to one claim. It is not a statement about your company as a whole, about your other claims, or about your suitability as a supplier. A buyer relying on a verified claim is relying on that claim only.

You cannot set your own claim to a verified state. The platform refuses it.

Evidence documents are not published. They are stored privately and released only inside an engagement you have accepted.

A claim you withdraw is removed from public view but retained in your own history, because a buyer who relied on it is entitled to see that it was withdrawn.

Agents and automated access

This section describes how software may act on the platform, and is deliberately restrictive.

An agent acting for you may read records, ask questions, request evidence, and prepare draft offers and enquiries.

An agent may not approve an offer, send an offer, or accept one. The platform refuses these actions at the database level rather than only in the interface. An agent cannot approve a draft it produced.

You are bound only by what a person with authority to bind your company has approved. A draft prepared by software is not an offer, and is not capable of becoming one until a person approves it.

Where approved terms are changed, the approval falls away and the offer must be approved again, because a changed offer is a new decision.

Access granted to an agent is revocable by you at any time. Every action an agent takes is written to an audit log that does not permit updates or deletions.

Automated access to our public interfaces is subject to published rate limits. You must not attempt to evade them, and you must not scrape the platform in bulk outside the interfaces we provide for that purpose.

Matching, and commitments about it

Where we produce a shortlist against a buyer's requirements, we commit to the following, and these commitments are contractual rather than editorial:

• What a supplier pays does not affect whether they appear in results, or where. A supplier's plan, spend and fee status are not available to the matching engine

• Requirements marked essential are applied as constraints, not as preferences

• A requirement a supplier has not answered is reported as unanswered, never as met

• Where we do not hold a piece of information, we report it as unknown. We do not infer it and we do not generate it

A shortlist is a structured comparison of stated and evidenced facts. It is not advice, and it is not a recommendation that you buy anything. The decision, and responsibility for the decision, remain yours.

Fees

A public company profile, including its machine-readable form, is free. Paid plans cover verification, evidence handling, structured responses, integrations and commercial-scale access. Current plans and prices are published at handshakr.com/pricing.

Published prices include UK VAT at the standard rate where it applies. Business customers outside the UK who give a valid VAT number may be charged under the reverse charge. Monthly fees are payable monthly in advance and annual fees annually in advance.

Cancellation and refunds

You can cancel a paid plan at any time from your billing settings. The plan stays active until the end of the period you have paid for and then returns to the free Claimed plan. We do not refund part periods. Our refund policy is set out in full at handshakr.com/legal/refunds. We will give you at least thirty days' notice before a price change takes effect at your next renewal.

Where a success fee applies, the conditions, the percentage and the cap are published with the plan. The fee is charged only where every published condition is met. It does not affect matching, and it cannot: the matching engine is not given a supplier's fee status.

Acceptable use

You must not:

• Make fraudulent, false or misleading statements about your company, your products or your claims

• Claim a listing for a company you have no authority to represent

• Submit evidence you know to be forged, altered or not yours

• Attempt to gain access to another user's account, or to data you are not entitled to

• Interfere with the operation of the platform, or attempt to evade its rate limits or access controls

• Use the platform in breach of any applicable law

We may suspend or remove content, or suspend an account, where we reasonably believe this section has been breached. Where we do so, we will tell you why.

Availability

We do not guarantee uninterrupted availability. We may change, suspend or withdraw features. Where a change materially reduces a paid capability you rely on, we will give you notice and, if you choose to terminate as a result, refund the unused portion of your fees.

Intellectual property

The platform, its software and its branding remain ours. These Terms do not transfer any of it to you. Your content remains yours.

Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

Subject to that, the platform is provided as is. We do not warrant that any record on the platform is accurate, that any supplier is suitable, or that any claim is true, except to the extent we have stated that we verified a specific claim and to the extent of what that verification covered.

Subject to the paragraph above, our total liability arising out of or in connection with these Terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim. We are not liable for loss of profit, loss of business, loss of anticipated savings, or indirect or consequential loss.

Termination

You may close your account at any time. We may terminate for material breach of these Terms, or on thirty days' notice.

On termination, your access ends. A claimed company profile may, at your request, be unclaimed and revert to a directory listing rather than being deleted, and we will tell you which option we have applied.

Changes to these Terms

We may update these Terms. Where a change materially affects your rights, we will give you notice before it takes effect. The date at the foot of this page is the date of the current version.

Governing law

These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
